Terms & Conditions - Tooling Division

These Terms & Conditions (“Terms”) govern your access to and use of tooling.harsle.com (the “Site”), operated by NANJING HARSLE MACHINE TOOL CO., LTD. (“HARSLE”, “we”, “us”, “our”).

By accessing this Site or placing an order, you agree to be bound by these Terms.

HARSLE operates as a manufacturer and global supplier of press brake tooling and related industrial equipment components.

All communications related to tooling products

If a separate signed contract exists between HARSLE and the customer, that contract shall prevail in case of conflict.

3. Product Information

We strive to ensure that product descriptions, technical specifications, images, and pricing are accurate.

However:

Product images are for reference only.
Minor variations in color, coating, or finish may occur.
Technical specifications may be updated without prior notice.
Custom tooling must be confirmed by drawings or written specification.

Customers are responsible for confirming compatibility with their machines before purchase.

4. Pricing

All prices shown on the Site:

May be listed in USD or other indicated currency
May exclude shipping, customs duties, taxes, and bank charges unless otherwise stated
Are subject to change without prior notice

A quotation issued by HARSLE is valid only for the period specified in the quotation.

5. Orders and Payment

Orders may be placed through:

Website checkout (if enabled)
Email confirmation
Proforma Invoice (PI)

Payment terms may include:

100% prepayment
Deposit + balance before shipment
Other agreed commercial terms

Production of custom tooling begins only after payment is received and technical details are confirmed.

Failure to complete payment may result in order cancellation.

6. Shipping and Delivery

Shipping methods may include express courier, air freight, sea freight, or customer-arranged forwarder.

Estimated delivery times are for reference only and may vary due to:

Production schedule
Customs clearance
Carrier delays
Force majeure events

Risk of loss transfers to the buyer according to the agreed Incoterms (if specified) or upon delivery to the carrier.

7. Returns and Refunds

Returns and refunds are governed by our Refund and Returns Policy.

Custom-made tooling and confirmed production orders are generally non-cancellable and non-returnable unless there is a verified manufacturing defect.

Customers must contact us for written authorization before returning any product.

8. Warranty Disclaimer

Unless otherwise specified in writing:

Tooling is warranted against manufacturing defects only.
Warranty does not cover damage caused by misuse, overloading, improper installation, or incorrect tonnage selection.
Normal wear and tear is not covered.

Technical performance depends on proper machine setup and application parameters.

9. Limitation of Liability

To the maximum extent permitted by law:

HARSLE shall not be liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed the purchase amount paid for the specific product giving rise to the claim.
We are not responsible for production losses, downtime, lost profits, or third-party claims.

10. Intellectual Property

All content on this Site, including:

Text
Images
Logos
Product descriptions
Technical documentation

is the property of HARSLE or its licensors and may not be copied, reproduced, distributed, or used without prior written consent.

Unauthorized use may result in legal action.

11. Website Use

You agree not to:

Attempt unauthorized access to systems
Distribute malicious software
Copy or scrape content without permission

We reserve the right to restrict or terminate access for misuse.

12. Compliance with Laws

We reserve the right to refuse transactions that violate applicable export control laws.

13. Force Majeure

We are not liable for failure or delay in performance due to events beyond reasonable control, including but not limited to:

Transportation disruptions
Labor disputes
Supply chain interruptions

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the People’s Republic of China, unless otherwise agreed in a separate written contract.

Disputes shall be resolved through friendly negotiation. If negotiation fails, disputes may be submitted to the competent court with jurisdiction over HARSLE’s registered location.
